IMPORTANT INFORMATION
1. Document Processing Period
All documents completed by Kilgetty Statutory Services (Pty) Ltd are sent to the CIPC who processes them. The processing time varies significantly (3-8 weeks) and Kilgetty Statutory Services (Pty) Ltd has no influence over the speed of this process therefore we are entirely at the mercy of the CIPC regarding all registrations. Please be aware that we have the same access to the CIPC as the general public and in the event of a delay, we suggest that all your queries should be aimed at the CIPC directly. Kilgetty Statutory Services (Pty) Ltd’ responsibility is to ensure that your application has been received by the CIPC. For this reason all our correspondence is sent via Docex on a daily basis to the CIPC. Please note that the final documents are either posted directly back to the new members or to our offices should you so indicate.
2. Company Tax Numbers and Tax clearance certificates
Clients must please go to the SARS office to collect a tax clearance certificate and at the same time register for company tax (IT77C) if the SARS computer line is not connected to the CIPC.
3. Bank Accounts for Shelf Companies
The opening of Company business accounts before the amendments are completed will depend on your current relationship with the bank. Please call for an appointment and take the required documents with you.
4. Electronic Name Applications
If you are applying for a company name, please note that due to the inconsistency of the CIPC website there can be a delay that is beyond our control.
5. Registered office of your entity
Should you elect to utilize the registered address of Kilgetty Statutory Services (Pty) Ltd for the purposes of the storage of your entities documentation and minute book, you will be charged an annual registered office fee of R 1 200.00 per annum for each entity. This fee is normally billed by Kilgetty Statutory Services (Pty) Ltd during the month that your CIPC annual return is due.
Should you elect to deregister you entity, you will still be charged the abovementioned annual registered office fee of R 2 500.00 per annum, pro-rata up until the date that the CIPC has finalized deregistration of the entity. This process can take up to one calendar year to be finalised by the CIPC.
6. Disclaimer
- Kilgetty Statutory Services (Pty) Ltd CANNOT be held responsible for any delay at the CIPC,
- Nor for any loss of the returning mail or incorrect postal delivery by the South African post office,
- Nor for the loss or misplacement of any documentation at the CIPC.
- Any shelf company sold through Kilgetty Statutory Services (Pty) Ltd will be DEREGISTERED AFTER ONE YEAR if the AMENDMENTS have not been processed. This will be done for security to prevent fraud and other problems. We are not able to offer a refund in this eventuality.
